1. Purpose

Welcome to the 24NSP website group, which includes our country-specific websites, blogs, and websites for programs such as the Nature's Sunshine Products Marketing Plan Reward Program (collectively, the "Sites"). This 24NSP Terms of Use Agreement (the "Agreement") governs the relationship between 24NSP, 24NSP's affiliate sites, and Nature's Sunshine Products, a company incorporated under the laws of the United States, with its principal office located at 2901 W Blue Grass Blvd, Lehi, UT 84043 ( collectively "24NSP", "we", "us" or "our"), and each user ("user", "your" or "you"). This Agreement governs your use of the Site, Nature’s Sunshine Products Reward Program (“Reward Program”), 24NSP Review Program (“Review Program”), and the terms of 24NSP’s Privacy Policy (“Privacy Policy”). Please read the entire Agreement carefully before using the Site, participating in the Reward or Review Program, or before submitting any personal data to us.

By using this Site and/or participating in the Rewards or Review Programs or disclosing any personal information to us: (i) you acknowledge that you have read and understood the terms of this Agreement, (ii) you accept and agree to be bound by the terms of this Agreement, and (iii) you accept and agree to be bound by all laws and regulations relating to the subject matter of this Agreement.

If you do not agree to the terms of the agreement, do not access the site or use it in any other way, do not participate in the Rewards Program or Review Program, and do not provide us with any personal data.

The terms of this Agreement may change from time to time and may be revised at any time in our sole discretion by updating this posting. You should visit this page from time to time to review the then-current terms of use because they apply to you. Continued use of the Site, participation in the Reward Program and/or Review Program is considered acceptance of any changes or modifications to this Agreement. If any modifications are unacceptable to you, you can only terminate this Agreement by contacting  support. Some provisions of the terms of this Agreement may be canceled by the requirements of the law or the terms indicated on the special pages of the Site, the terms of the Rewards Program and / or the Review Program.

Risk of loss/transfer of ownership

All purchases made are subject to the relevant INCOTERMS specified when placing an order. Ownership of any products purchased by you will be transferred by our delivery service to the shipping company.

2. Code of Ethics

Code of Ethics 24NSP is incorporated into this Agreement. Rewards participants, buyers, suppliers, Site visitors and interested parties are expected to comply with this Code of Ethics.

3. Not medical advice

Products and performance claims for certain products posted on the Site have been evaluated by the United States Food and Drug Administration and may be used to relieve symptoms or prevent disease.

This Site is not intended to provide a diagnosis. Products, services, information and other content provided on the Site, including information that may be provided on the Site directly or as a link to third party websites, is for informational purposes only. Be sure to consult a GP or other healthcare professional for any medical questions, diagnostics, and treatment options available.

The information provided on the Site and related websites, including information about health and medical conditions, treatments and products, may be presented in aggregated form. 3. Termination or suspension of the Agreement

This Agreement is effective until terminated by us or you. We may, in our sole discretion, suspend or cancel this Agreement at any time without notice and deny you access to the Site or any part of it. You may cancel this Agreement at any time by contacting  Support  and ceasing to use this Site, participation in the Rewards Program and the Review Program. Upon cancellation by us or by you, you must destroy all materials obtained from the Site, including any copies of such materials made under the terms of use contained in this Agreement or for any other reason. We reserve the right to change or discontinue, temporarily or permanently, the operation of the Site or any part of it without prior notice.

4. Account termination

We reserve the right to terminate any account if your order is found to be fraudulent and payment is not made on time. You agree that we may terminate or suspend your access to all or any part of the Site, without or after notice, for any conduct that we, in our sole discretion, deem to be in violation of any part of this Agreement, laws or regulations, or harmful to others users, us or our subsidiaries.

The following sections will survive any termination by us or you: Confidentiality, Disclaimer, Severability, Interpretation, and Miscellaneous.

5. Google Maps/Google Earth

On some pages of the Site, Google Maps/Google Earth services are implemented. Your use of Google Maps/Google Earth is dependent on Additional Terms of Service for Google Maps and Google Earth and Google Privacy Policy .

6. User Content and Behavior

The rules for providing user-generated content are included in this Agreement. All user content created must comply with the requirements and is a mandatory part of this Agreement. In addition, all user-generated content must comply with the Code of Ethics in this Agreement.

7. Privacy

8. Consent to share information

To the extent required by law, you consent to receiving SMS messages (including text messages) from us, our agents, representatives, affiliates or any other person who sends messages on our behalf to specific numbers that you have provided us with information or answers to questions about your account, orders and/or marketing offers. You represent, warrant and represent that the telephone number you have provided to us is your contact number and not someone else's. You acknowledge that you are authorized to receive calls and text messages on the phone number you have provided to us. You agree to promptly notify us of the termination of the use of a telephone number. 24NSP and our agents, representatives, affiliates, and anyone who sends communications on our behalf may use the communications described in this section, even if you incur costs to receive such communications, text messages, email messages, or communications received by any in another way.

If you agree to receive SMS messages, we will send you an SMS message to confirm your choice. You can cancel this selection at any time.

9. Programs

Participation in the Programs is voluntary and will continue until terminated by 24NSP or by you.

Program Rewards

Reward Program Duration

The Reward Program is currently active. Participation in it takes place in accordance with the conditions defined in this Agreement, Nature's Sunshine Products Marketing Plan and the conditions Affiliate Agreement 24NSP (the "Reward Program Period")

Eligibility

The Rewards Program is only available to 24NSP customers who are at least eighteen (18) years of age at the time of participation. This Reward Program does not operate where prohibited or restricted by law. Your participation in the Rewards Program and the use of your Referral Link and Discount Number (defined below) is deemed to be your full and unconditional acceptance of the terms of this Agreement and the decisions and interpretations of 24NSP, which are final and binding in respect of all matters related to the Program Rewards.

General information about the Reward Program

If you meet the above eligibility criteria, you may be eligible to participate in the Reward Program when you purchase products offered on the Site. When you place your first order and you do not have an active Nature's Sunshine Products partner agreement, you will be enrolled in the Rewards Program and as a member you will be able to receive Rewards.

Rewards received under the Rewards Program can be used by you for future purchases or withdrawn to yours after a certain amount of time.

After enrolling as a member, you will receive an individual link ("Referral Link"), as well as a special code ("Discount Number"). Referral link and Discount number will be linked to your account. If you have a valid Nature's Sunshine Products Partner Agreement, then this is the Discount Number, and you must indicate it when registering on the Site and / or the Program.

You may be rewarded for qualifying orders placed by new or existing customers, provided they do not have an active Nature's Sunshine Products affiliate agreement, who migrate to 24NSP using your Number or Referral Link ("Referral").

Receiving rewards

You can share your Rewards link with potential Referrals by following the steps below.

• Go to your favorite product or category page, or create a shopping cart of your favorite products. Then click the "Share" button in the top right corner to share your Referral Link.

You can also receive rewards if the Referral indicates your Discount number when placing an order.

For qualifying orders, you can earn Rewards which will be credited to your account according to Nature's Sunshine Products Marketing Plan.

You may receive additional Rewards on Promotions announced by Nature's Sunshine.

Options for using rewards

Nature's Sunshine Products allows you to use rewards in a variety of ways, giving you flexibility. Your rewards can be counted towards placing your future orders and will be displayed in your account when you log into your Nature's Sunshine Products account. If you have enough rewards at the end of the month, you can cash them out.

Subject to the conditions below, there is no limit to the number of rewards you can earn. However, you can only register one account per person and up to five (5) accounts per household in the Rewards Program.

24NSP will track orders that qualify for the Rewards Program and will make tracking orders available to you under the terms of the 24NSP Partner Agreement.

24NSP will use the Referral Link and/or Discount Number that was applied when placing that Referral's respective order to determine the member who will receive rewards for each Referral order.

24NSP reserves the right to suspend or block your participation in the Program. Nature's Sunshine Products may determine (cancel) a Loyalty Number if it determines that a Partner is in any way violating the terms of the Nature's Sunshine Products Marketing Plan. Suspended accounts will not be eligible to participate in the 24NSP Rewards Program. If your Discount Number is blocked, no rewards will accrue on your Referral Link and Discount Number, and all pending and available rewards will be reset to zero.

Reward Program Accounting and Billing Information

The actual amount of any remuneration earned will be calculated based on a percentage of the total purchase price of eligible products ordered by the Referral, as per the Nature's Sunshine Products Marketing Plan Nature's Sunshine Products.

Tax information

You will be responsible for any tax liabilities arising in connection with any rewards that you accumulate under the Rewards Program, in accordance with the laws of the country in which you are a tax resident.

General limits for the Reward Program

All participants in the 24NSP Rewards Program must comply with the terms of this Agreement and 24NSP policies regarding the use of the 24NSP Programs, including the Code of Ethics. Failure to comply with this Agreement and its Code of Ethics may result in the suspension or blocking of your account on the Site.

All accounts must belong to different living people, not legal entities.

24NSP assumes no responsibility for discrepancies, delays, omissions, inconsistencies or errors in the calculation and calculation of rewards, as these actions are manufactured by Nature's Sunshine Products.

If you register multiple accounts or attempt to enter the Rewards Program using multiple identities, 24NSP, in its sole discretion, may disqualify you and remove any or all such accounts.

24NSP reserves the right to cancel any orders placed on the Site in accordance with this Agreement.

You are not eligible to participate in any form of trade advertising as this Rewards Program is not commercial in nature. It is strictly forbidden to post Referral Links and Discount Number on commercial sites (including, but not limited to, discount and coupon sites, eBay, Amazon, etc.), otherwise your account will be blocked.

You are also prohibited from participating in any way in affiliate reciprocity schemes, as such relationships are intended to interfere with and disrupt the normal operation of the Rewards Program.

General Promotion Restrictions

You may share your 24NSP Reviews as well as your Referral Link on your blog, website, or your own social media pages (such as Facebook, Twitter, and VK) in accordance with the terms of use of those accounts. However, your social media profile must not have an avatar or any other content that may indicate you are a 24NSP member, and your username cannot include the word "24NSP". You are prohibited from posting your Referral Link and Discount Number on any official 24NSP social media account or 24NSP.eu website in order to receive Rewards.

Your blog, website, or social media pages must not be similar to the 24NSP website or contain any content that may suggest an association with 24NSP. Any content you choose to post on your personal accounts is your sole responsibility. 24NSP does not claim such content.

You can send your 24NSP Referral Link using your personal email account or the Share icon on the 24NSP website. However, such emails may not appear to be sent or supported by 24NSP. You represent and warrant that you will not engage in and/or facilitate spamming, unsolicited advertising, or violate any subsequent statutes and/or other laws and/or regulations that govern bulk mailing and/or communications.

You may not purchase or use a domain or subdomain with a name that includes the word "24NSP" or certain variations and misspellings in any username, group name, or social media site identifier. Examples of such domains include www.24nsp.sitename.com or www.24nsp-sitename.com.

You may not create or use any third party client applications (plugin, browser extension, executable, etc. installed by the end user) that may imply communication with 24NSP on any device. In addition, to the extent that you create applications, your applications may not integrate and/or use 24NSP's names, logo, application, and any other intellectual property in any way.

Additional restrictions on your promotion activities include, but are not limited to:

8. You are not may attempt to redirect or intercept traffic from any site participating in the Reward Program.

You agree free and shield 24NSP and Nature's Sunshine Products and its employees from liability and damages in respect of any claims, demands, fines, judgments, costs or other reasonable expenses (including reasonable attorneys' fees) arising out of and in connection with your participation in the Reward Program (i) if they violate the Terms of Use or (ii) the rights of third parties.

Account verification

All accounts that qualify to make purchases and/or earn rewards are subject to verification at the sole discretion of 24NSP. 24NSP reserves the right to suspend/ban an account when attempting to access from any IP address or device upon detecting or suspecting any type of malicious or suspicious activity.

24NSP does not send email notifications when your account is suspended/banned.

Termination of the Reward Program

In the event this Rewards Program and/or Nature's Sunshine Products Marketing Plan is terminated and you comply with these Terms of Use, the Rewards remain on your Nature's Sunshine Products Partner Agreement number.

24NSP may change this policy or set limits and conditions for this Rewards Program at any time without notice and in any form. Except as expressly set forth above, 24NSP assumes no liability or liability for the operation of this Rewards Program, marketing plan, or any decision Nature's Sunshine Products makes regarding your rewards.

10. Disclaimer

You agree that your use of the site or participation in any program is at your own risk. The Entities of 24NSP make no warranty that the site or any of the programs will meet your requirements, that the site will operate regularly, that it will be secure or will operate without interruption, that the results obtained from the site or any program will be accurate or reliable, the quality of any products, services, information or other materials obtained by you through the site will meet your expectations, and any errors on the site will be corrected. To the maximum extent permitted by applicable law, 24NSP entities shall not, under any circumstances, be liable for any indirect, incidental, special or consequential damages (including damages due to loss of business opportunity, loss of profits, loss of goodwill, loss of opportunity to operate, loss of data , costs of acquiring replacement goods, services or information, litigation, and the like), based on termination of contract, breach of warranty, tort (including negligence), product liability, or otherwise, even if 24NSP entities have been advised of the possibility of such damages. The limitations of liability set forth herein are fundamental elements of the relationship between 24NSP and you. The products, information, programs and services offered on and through the Site will not be provided without these limitations. Subject to the foregoing, to the fullest extent permitted by law: (i) if you are a purchaser, 24NSP's entity's liability will be limited to the amount you paid for any product, information or service you purchase from 24NSP on the Site, and (ii) if you are a member of any program, the liability of 24NSP entities will be limited to the amount accrued or paid to you by 24NSP under the terms of this program within 12 months prior to the date of obligation.

Because some states and jurisdictions do not allow disclaimers for certain warranties or limitations or exclusions of liability for certain types of damages, some of the damages, some disclaimers and limitations may not apply to you. If you are dissatisfied with any part of the site, your participation in any program, or any term of this agreement, your sole and exclusive remedy is to stop using the site or participation in the current program.

We make no warranties with respect to any products or services sold. We are not responsible for any damage to information, products or services provided by third parties, even if we have been advised of the possibility of such damage.

11. Indemnification

You agree to indemnify, defend and hold harmless 24NSP from and against all losses, costs, expenses and damages, including attorney's fees, arising out of your use of or inability to use the Site, participation in any Program, any products and services purchased or obtained by you in connection with the Site, any postings on the Site or activities related to your account by you or another person, your violation of any terms of this Agreement, your violation of any rights of third parties, or your violation of applicable laws, regulations or standards. You agree to cooperate to the extent necessary to defend against any such claim. We reserve the right to use the exclusive defense and control of any matter relating to your indemnification under this section, in which case you will still be required to indemnify us for attorney's fees and expenses in addition to any damages, claims, losses and liabilities, incurred by us as a result of such action. You shall not, under any circumstances, independently resolve any dispute without the prior written consent of 24NSP.

12. Copyright, trademarks and other intellectual property

You acknowledge that the Site and all materials on the Site or provided in connection with participation in the Programs, including the design, text, graphics, sounds, images, software and other files of the Site or Programs and their appearance, selection and arrangement (collectively, the "Materials") are our property and are subject to copyright laws in the United States, Europe, CIS and other countries, as well as other laws and intellectual property rights. All other copyrights, trademarks, product names, company names, logos or intellectual property are the property of their respective owners, who have all necessary rights. Links to third party sites or their copyrights, trademarks or other intellectual property are not and do not imply affiliation, endorsement or recommendation by 24NSP by the respective trademark owners or by 24NSP by the respective trademark owners.

13. Agreement

This Agreement constitutes the only Agreement between us and you with respect to the subject matter of this Agreement. This Agreement supersedes and replaces all prior or contemporaneous Agreements, representations, warranties and interpretations, written or oral, with respect to the subject matter of this Agreement.

14. Autonomy of provisions, interpretation

If any provision of this Agreement is terminated, held unlawful, or for any other reason unenforceable, such provision will be severed from this Agreement and the remainder of the Agreement will remain in effect. When the term “including” is used in this Agreement, this term will be deemed to be accompanied by the words “without limitation”.

15. Applicable legal regulations; jurisdiction; individual arbitration; waiver of trial by jury and waiver of class action.

All matters relating to the interpretation, duration, application and interpretation of this Agreement shall be determined and construed in accordance with local law, without regard to any applicable law or conflict of laws.

24NSP and you (collectively the "Parties" or individually a "Party") further agree that the following arbitration agreement forms part of an agreement entered into under interstate commerce. You and 24NSP Subjects agree to individually resolve in arbitration any dispute, claim or conflict arising in any way from this Agreement, including, without limitation, claims under contract, tort, malpractice, law or regulation. It is intended that 24NSP will be able to enforce this arbitration agreement. Each party waives (waives) its right to sue and have any conflict, claim or dispute heard by a court or jury.

You and the entities of 24NSP expressly agree to arbitrate any conflict, dispute or claim arising in any way from this agreement. This Arbitration Agreement also covers issues of arbitral jurisdiction, including issues relating to the question of whether an agreement is unfounded or false, and any objection to arbitration.

The parties further agree that any arbitration proceeding may only be initiated by you and us individually, and not as a group, alleged group, class action or any other representative action. An arbitrator cannot consolidate or agree to more than one complaint from a person or entity and may not otherwise conduct a hearing for the production of any form of representative, class or class action. If any part of this class action waiver is found to be insufficient or unenforceable, it will not be severed and the entire arbitration agreement will be unenforceable.

Your and the 24NSP Entities' mutual obligations to arbitrate these disputes, and to arbitrate disputes on an individual basis rather than litigate in court or otherwise, constitute mutual recognition with respect to this arbitration agreement.

Either Party may exercise its right to arbitrate by providing the other Party with written notice of any and all claims that form the basis of such right, with an adequate amount of data to enable the other Party to understand the nature of such claims and the need for them decisions in arbitration. Under no circumstances should a request for arbitration be made after the date on which litigation or equitable proceedings based on these claims will no longer be possible due to the expiration of the limitation period under the applicable statute of limitations.

The parties have the right to be represented by a lawyer or other representative of their choice at their own expense. Each Party shall bear the costs of paying for the services of a representative. The parties agree to abide by and comply with any award made by the arbitrator; provided that the arbitrator does not have the power to award punitive damages, injunctive relief or other equitable remedy. The arbitrator shall issue an award in writing and set out in it the key facts of the case and the conclusions on which his decision is based. An application for a court order based on an arbitrator's decision may be submitted to any court with appropriate jurisdiction.

16. Other

You may not assign this Agreement by operation of law or otherwise without our prior written permission. Subject to this limitation, the Agreement will be binding, enforceable in favor of, and enforceable by, the parties and their respective successors and assigns.

24NSP's failure to enforce strict compliance with any term of this Agreement will not constitute a waiver of that provision and will not be construed as a waiver or limitation of that party's right to subsequently enforce strict compliance with this term or any other term of this Agreement. You agree that notwithstanding any law or statute to the contrary, any claim or cause of action arising out of or resulting from your use of the Site or this Agreement must be filed within one (1) year after such claim or cause arises. to claim, or such claim or cause of action will be extinguished by statute of limitations. The provisions of the Disclaimer section of this Agreement shall protect the interests of the Entities of 24NSP as defined in this Agreement, and any of these individuals or entities will have the right to use and enforce these provisions against you on their behalf.
